Terms of Service

These Terms of Service ("Terms") form a binding agreement between you (the "Customer") and Widgent ("we", "us", "our") governing your use of the Widgent platform and related services ("Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

1. Description of Service

Widgent is a developer platform that enables SaaS teams to embed AI agent widgets into their web applications. Customers configure agents via a dashboard and receive a JavaScript snippet for integration. The Service routes LLM requests to third-party AI providers (OpenAI, Anthropic, Google, OpenRouter) using API keys supplied by the Customer. Widgent is infrastructure — it does not generate AI responses, does not train models, and does not guarantee the accuracy of any AI-generated content.

2. Accounts & Eligibility

You must provide accurate and complete information when registering. You are responsible for all activity that occurs under your account. You must maintain the confidentiality of your credentials and notify us immediately of any unauthorized access.

You must be at least 18 years of age (or the age of legal majority in your jurisdiction) to create an account. The Service is intended for business and developer use only.

3. API Keys & Third-Party AI Providers

You retain full ownership of your LLM API keys. By storing a key in Widgent, you authorize us to encrypt it (AES-256-GCM) and use it solely to route requests you initiate on behalf of your End-Users. We do not use your API keys for any other purpose.

You are solely responsible for compliance with the terms of service of any AI provider whose key you use. Widgent is not responsible for costs, rate-limit violations, or policy violations incurred through your provider account. If a provider suspends or terminates your API key, the Service will cease to function for that product.

Security notice: You acknowledge that no encryption system is infallible. In the event of a security incident affecting your API key, your sole remedy is to rotate the key with your provider and update it in the Widgent dashboard. Widgent's liability for API key exposure is limited as set forth in Section 12.

4. Customer Responsibilities as Data Controller

When you deploy a Widgent widget to your end-users, you are the Data Controller for your end-users' personal data, and Widgent acts as your Data Processor. This means:

  • You must have a lawful basis to process your end-users' data (e.g., consent, legitimate interests)
  • You must maintain your own Privacy Policy that discloses the use of Widgent and AI processing
  • You must ensure your end-users are aware that their messages are processed by AI
  • You are responsible for any sector-specific compliance (HIPAA, PCI-DSS, etc.) applicable to your use case
  • You must not configure Widgent for regulated healthcare data (PHI under HIPAA) without a signed Business Associate Agreement (BAA) with us
  • If you enable conversation history, you are responsible for the lawfulness of storing your end-users' messages

5. Data Processing Agreement

By accepting these Terms, you also accept the data processing terms below, which govern Widgent's processing of personal data on your behalf (as required by GDPR Article 28).

  • Widgent will process personal data only on your documented instructions
  • Widgent will ensure that persons authorized to process data are bound by confidentiality obligations
  • Widgent will implement technical and organizational security measures (see our Privacy Policy, Section 6)
  • Widgent will assist you in responding to data subject rights requests
  • Widgent will notify you of a confirmed personal data breach within 72 hours of becoming aware
  • Widgent will delete or return personal data at the end of the service relationship
  • Widgent may engage sub-processors (listed in our Privacy Policy, Section 4). You provide general authorization for sub-processors listed there; material changes will be notified with 14 days' notice, during which you may object

6. Acceptable Use

You agree not to use the Service to:

  • Generate, distribute, or facilitate content that is illegal, harmful, harassing, defamatory, obscene, or violates any third party's rights
  • Process special categories of personal data (health, biometric, genetic, political, religious data) under GDPR without explicit consent mechanisms in your application
  • Circumvent rate limits, access controls, or security features
  • Resell, sublicense, or white-label access to the Service without our prior written consent
  • Reverse engineer, disassemble, or attempt to extract the source code of the Service
  • Use the Service in applications directed at children under 13 (US) or 16 (EU) without appropriate age-gating and parental consent mechanisms
  • Violate any applicable law or your LLM provider's terms of service
  • Use the Service in applications providing professional medical, legal, or financial advice without appropriate disclaimers to end-users

7. AI Disclaimer

Widgent is a routing and delivery platform. We do not generate AI responses and have no control over the content produced by third-party LLM providers. AI-generated content may be inaccurate, incomplete, biased, or harmful.

You are solely responsible for: (a) validating AI outputs before exposing them to your end-users; (b) implementing appropriate safeguards (content filters, human review, disclaimers) for your use case; and (c) any harm caused to your end-users by AI-generated content delivered through your application.

Widgent content is not professional advice of any kind. If your product provides outputs that users may rely upon for medical, legal, psychological, financial, or safety decisions, you must include clear disclosures to end-users that the content is AI-generated and not a substitute for professional advice.

8. Intellectual Property

Widgent retains all rights to the platform, widget runtime, dashboard, and documentation. You retain all rights to your content, system prompts, tool configurations, and end-user data. You grant us a limited, non-exclusive license to process your data solely to provide the Service. We do not claim ownership of any content generated by LLMs using your API key.

9. Privacy

Your use of the Service is governed by our Privacy Policy, which is incorporated into these Terms by reference.

10. Fees & Billing

Free tier usage is provided at no charge subject to usage limits. Paid plans are billed monthly or annually in advance. All fees are non-refundable except where required by law or explicitly stated. We reserve the right to change pricing with 30 days' written notice. Failure to pay may result in suspension or termination of the Service.

11. Termination

You may cancel your account at any time from the dashboard. Cancellation takes effect at the end of the current billing period. We may suspend or terminate your account immediately for: (a) material breach of these Terms; (b) non-payment; (c) illegal use; or (d) actions that threaten the security or integrity of the Service. Upon termination, your data will be deleted within 30 days.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND UNINTERRUPTED OR ERROR-FREE OPERATION.

We do not warrant that: (a) the Service will be available at any particular time; (b) responses from LLM providers will be accurate or appropriate; or (c) your API keys will remain secure against all possible attacks.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WIDGENT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO WIDGENT IN THE THREE (3) CALENDAR MONTHS PRECEDING THE CLAIM, OR (B) USD $100.

Some jurisdictions do not allow limitations of liability for personal injury or certain types of damages; in such jurisdictions our liability is limited to the maximum extent permitted by law.

14. Indemnification

You agree to defend, indemnify, and hold harmless Widgent and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

  • Your use of the Service in violation of these Terms
  • Your end-users' use of your application (which embeds Widgent)
  • Your violation of any third party's rights (including data protection rights)
  • AI-generated content delivered through your application
  • Your failure to comply with applicable law (including GDPR, HIPAA, CCPA)

15. Export Controls & Sanctions

You may not use the Service in any country, or on behalf of any person, subject to applicable trade sanctions or export control regulations, including those administered by the US Department of Treasury's OFAC or the EU.

16. Force Majeure

Neither party will be liable for failure or delay in performance resulting from causes beyond their reasonable control, including natural disasters, government actions, internet or infrastructure failures, or third-party service outages (including LLM provider outages).

17. Governing Law

These Terms shall be governed by applicable law. Any dispute not resolved by good-faith negotiation may be submitted to binding arbitration. Either party may seek urgent injunctive relief in a court of competent jurisdiction without waiving arbitration rights.

18. Changes to Terms

We may revise these Terms at any time. Material changes will be notified by email or prominent dashboard notice at least 15 days before taking effect. Continued use after the effective date constitutes acceptance of the revised Terms.
